1. Introduction

1.1. This End-User License Agreement (the “EULA”) constitutes a legally binding agreement between you (“you” or “user”) and LoliLand Studios. This EULA governs your download, installation, and use of: (a) the LoliLand video game software; and (b) the LoliLand video game launcher software known as the “LoliLand Launcher”.

IF YOU DO NOT ACCEPT ALL TERMS AND CONDITIONS OF THIS EULA, YOU MUST NOT DOWNLOAD, INSTALL, COPY, OR USE THE GAME.

Your access to and use of the Game, together with any related websites and online services (collectively, the “Service”), is also subject to the LoliLand Terms of Service available at https://loliland.ru/terms (the “Terms”), including, without limitation, provisions relating to eligibility, dispute resolution, and governing law that apply to your use of the Game under this EULA.In addition, your use of the Game is subject to the following policies, rules, and guidelines, each of which is incorporated into this EULA by reference and may be amended, supplemented, or replaced from time to time:

1.2 By downloading, installing, or using the Game, you acknowledge and agree to be legally bound by this EULA. If you do not agree to these terms, you must not download, install, or use the Game. If you are a Minor, as defined in the Terms, and are habitually resident in the United Kingdom or in any territory within the European Economic Area, your use of the Game is subject to the minors protection and age-assurance requirements set out in the Terms. Child account settings, including communication and privacy controls, are governed by the Terms and may restrict or disable certain online features of the Game.

1.3 This EULA, together with the Terms and the applicable Policies, constitutes the complete and exclusive agreement between you and LoliLand Studios with respect to the Game. In the event of any inconsistency or conflict between this EULA and the Terms relating specifically to the use of the Game, this EULA shall take precedence and control your use of the Game. You represent and warrant that you satisfy all eligibility requirements applicable to the use of the Game.

1.4 If you are habitually resident in any Member State of the European Economic Area, information regarding notices, content moderation practices, appeal mechanisms, and your rights under the Digital Services Act is provided in the Terms.

2. License Grant

2.1 Limited license. Subject to your compliance with this EULA and the Terms, LoliLand Studios grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use the Game on devices that you own or lawfully control, solely for your personal and non-commercial purposes.

2.2 No ownership. Nothing in this EULA conveys or grants to you any ownership interest, title, or proprietary rights in or to the Game, all of which are expressly retained by LoliLand Studios.

2.3 Online features. Certain online or network-enabled features of the Game require an authenticated Account accessed through the LoliLand Launcher and are governed by, and subject to, the Terms.

3. Restrictions & Prohibited Uses

3.1 Restrictions and Prohibited Uses. You agree that you shall not, and shall not attempt to: (a) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Game, except to the extent expressly allowed by applicable law; (b) bypass, disable, or interfere with any digital rights management systems, anti-cheat mechanisms, or other technical protection measures implemented in or for the Game; (c) use, create, distribute, or rely on cheats, bots, hacks, exploits, or similar unauthorized tools; (d) rent, lease, sell, sublicense, or otherwise commercially exploit the Game itself; (e) remove, obscure, or modify any proprietary notices, labels, or attributions included in or associated with the Game; (f) impersonate, falsely represent, or suggest affiliation with LoliLand Studios; or (g) use the Game in violation of any applicable laws or regulations, infringe the rights of any third party, or otherwise misuse or abuse the Game.

3.2 No derivatives. Except where expressly authorized by us in writing, you may not modify, adapt, translate, create derivative works based on, distribute, publicly display, publicly perform, or otherwise make the Game or any portion of it available to any third party.

4. Installation & System Requirements

4.1 Installation. The Game may be installed, accessed, and authenticated solely through the LoliLand Launcher. An active internet connection is required for installation, user authentication, downloading updates, and accessing online gameplay features.

4.2 Updates. Continued operation of the Game may require the installation of updates, including updates related to security, compatibility, performance, or gameplay integrity. Such updates may be delivered remotely through the LoliLand Launcher.

4.3 System requirements. The Game is subject to minimum system and hardware requirements, which are described at https://loliland.ru/start#system-requirements; These requirements may be modified as the Game is developed or updated. Performance of the Game is not guaranteed on all devices or hardware configurations.

5. Anti-Cheat & Data Collection

5.1 Integrity. We employ anti-cheat and integrity protections for the Game that operate primarily on the server side, supplemented by limited client-side telemetry. We do not use or deploy kernel-level anti-cheat technologies.

5.2 Telemetry data. As outlined in our Privacy Policy, we may collect gameplay data, device information, network-related signals, and other categories of personal information where necessary to detect and prevent cheating, enforce applicable rules, and ensure the proper operation of the Game.

6. Intellectual Property

6.1 Ownership. You acknowledge and agree that all rights, title, and interests in and to: (a) the Game, including without limitation all associated software, source and object code, visual and audiovisual elements, artwork, audio, content, characters, musical compositions, sound recordings, designs, narratives, character names, and trademarks; and (b) the Service, are owned exclusively by LoliLand Studios or its licensors. Except for the limited license expressly granted to you under this EULA and the Terms, no rights are transferred to you, and all rights not expressly granted are reserved by LoliLand Studios or its licensors.

7. Open Source & Third-Party Licenses

7.1 Third-party licenses. The Game may incorporate or be provided together with third-party software components that are governed by open source or other third-party licenses. You acknowledge and agree that such components are licensed to you solely under the terms of their respective applicable licenses and not under this EULA.

7.2 Notices. Copies of applicable open source and third-party license notices are included with the software downloads where required.

8. Term & Termination of License

8.1 License term. This EULA remains in effect unless and until it is terminated by you or by LoliLand Studios in accordance with this Section.

8.2 User termination. You may terminate this EULA at any time by discontinuing all use of the Game, permanently removing all installations of the Game from your devices, and destroying all copies of the Game in your possession or under your control.

8.3 Company termination. Subject to applicable law, we may terminate this EULA at any time in our sole discretion. This EULA will also automatically terminate if you fail to comply with any of its terms or with the Terms. In addition, we may suspend or terminate your access to the Game if we determine, in our sole discretion, that such action is necessary to protect the Game, the Service, or other users. Where required by applicable law, we will provide any legally mandated advance notice. In all other cases, suspension or termination may occur without prior notice.

8.4 Post-termination effects. Upon termination of this EULA by LoliLand Studios for any reason, you must immediately stop using the Game, permanently delete all installations of the Game from your devices, and destroy all copies of the Game in your possession or control. Any provisions which by their nature are intended to survive termination, including provisions relating to ownership, disclaimers, limitations of liability, and indemnification obligations, shall survive such termination. You acknowledge and agree that, except where required by applicable law or as expressly set out in the Terms for users who are habitually resident in the United Kingdom or in any territory within the European Economic Area, you are not entitled to any refund or other compensation for amounts paid to LoliLand Studios prior to termination.

8.5 Account & Data. Matters relating to Accounts and personal data, including retention and deletion practices, are governed exclusively by the Terms.

9. Disclaimers & Warranties

9.1 DISCLAIMER. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE GAME IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. EXCEPT TO THE EXTENT REQUIRED BY MANDATORY CONSUMER PROTECTION LAWS, WE EXPRESSLY DISCLAIM ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT REPRESENT OR WARRANT THAT THE GAME WILL OPERATE WITHOUT INTERRUPTION, BE TIMELY, SECURE, ERROR FREE, ACCURATE, COMPLETE, RELIABLE, OR FREE FROM VIRUSES OR OTHER HARMFUL CODE, OR THAT ANY DEFECTS WILL BE IDENTIFIED OR REMEDIED. NO ORAL OR WRITTEN INFORMATION, ADVICE, OR GUIDANCE PROVIDED BY US SHALL CREATE ANY WARRANTY OR REPRESENTATION. SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OF CERTAIN WARRANTIES. WHERE SUCH LAWS APPLY, THE FOREGOING DISCLAIMERS SHALL APPLY ONLY TO THE FULLEST EXTENT PERMITTED BY LAW AND SHALL NOT AFFECT ANY NON-WAIVABLE STATUTORY RIGHTS.

9.2 Limited Exception. Nothing in this EULA limits or excludes any rights that cannot be waived under applicable consumer protection laws. Although this EULA describes the Game as provided "as is", users who are habitually resident in the United Kingdom or in any territory within the European Economic Area benefit from statutory rights relating to the conformity of digital content and the provision of updates, as further described in the Terms. Nothing in this EULA restricts or diminishes those rights. If you consider the Game to be non-conforming, you should follow the remedies and procedures specified in the Terms.

9.3 Health & Safety. Playing the Game may result in photosensitivity, motion-related discomfort, or repetitive strain. You are advised to take regular breaks and to consult a qualified medical professional if you experience any adverse symptoms.

10. Limitation of Liability & Indemnity

10.1 Limitations. To the fullest extent permitted by applicable law, any and all liability arising in connection with the Game shall be subject to and limited by the liability limitations set forth in the Terms of Service.

11. Dispute Resolution & Governing Law

11.1 Governing law. This EULA shall be governed by and interpreted in accordance with the laws of the State of New York, without regard to any choice of law or conflict of law principles. Except where a dispute is subject to arbitration pursuant to the dispute resolution provisions incorporated by reference from the Terms, the state courts of the State of New York located in New York County shall have exclusive jurisdiction over any lawsuit, action, or proceeding arising out of or relating to this EULA or any dispute or claim connected with it. The parties expressly consent to the personal jurisdiction of such courts and waive any objections or defenses based on jurisdiction or venue that might otherwise be available. This provision shall be construed as broadly as permitted under applicable law.

11.2 Mandatory rights. Nothing in this EULA limits or removes the benefit of any mandatory legal provisions or consumer protections applicable under the laws of the country in which you are habitually resident.

11.3 CISG. For the avoidance of doubt, the United Nations Convention on Contracts for the International Sale of Goods (Vienna, 1980) does not apply to this EULA or to any dispute arising out of or relating to this EULA.

11.4 Dispute process. Any disputes arising from or in connection with this EULA shall be resolved in accordance with the dispute resolution mechanisms set out in the Terms, which are incorporated into this EULA by reference.

12. EULA updates

12.1 EULA updates. We reserve the right to amend, revise, or update this EULA from time to time, including any incorporated Policies, in our sole discretion, and to introduce additional Policies as necessary. Where and to the extent required by applicable law, we will provide reasonable notice of any such changes. If applicable law requires advance notice of material amendments within a specified timeframe, we will provide such notice, for example by email, through the LoliLand Launcher, via in-Service notifications, or by posting the update on our website, and will indicate the effective date of the revised EULA. To the extent permitted by applicable law, your continued use of the Game after the effective date of the updated EULA constitutes your acceptance of the changes. If you do not agree to any modification of this EULA, you must terminate this EULA in accordance with Section 8.2.

12.2 EU notice. For users who are habitually resident in the United Kingdom or in any territory within the European Economic Area, changes to this EULA will be made only for legitimate reasons, including to comply with changes in applicable law or regulatory obligations, to preserve or enhance security or safety, to address technical or performance-related concerns, to prevent misuse or abuse, or to introduce, modify, or discontinue features.

13. General Provisions

13.1 Severability. If any provision of this EULA is held to be invalid, unlawful, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

13.2 Interpretation. The Section headings included in this EULA are provided for convenience only and do not affect the interpretation of this EULA. In all circumstances where this EULA permits us to make a determination or exercise discretion, such determination shall be made solely at our discretion. This EULA is at all times subject to applicable law and applies except to the extent it is prohibited or modified by mandatory legal requirements. Unless the context clearly requires otherwise, the term "including" and similar expressions mean "including, without limitation" and the term "or" means "and/or".

13.3 No waiver. Our failure or delay in enforcing any provision of this EULA does not constitute a waiver of our right to enforce that provision or any other provision in the future.

13.4 Assignment. You may not assign, transfer, or delegate this EULA without our prior written consent. We may assign or transfer this EULA, including in connection with a merger, amalgamation, reorganization, or sale of assets.

13.5 Force Majeure. We shall not be liable for any delay or failure to perform resulting from circumstances beyond our reasonable control.

13.6 Investigations; Cooperation with Law Enforcement. We reserve the right to investigate, pursue, and take appropriate action in connection with any suspected or actual breach of this EULA. We may disclose information where we consider such disclosure necessary or appropriate to comply with applicable law, regulation, legal process, or governmental request.

13.7 Prevailing Language. Where this EULA or the Terms are made available in more than one language, the English-language version shall control and prevail in the event of any inconsistency or conflict between language versions.
